Item 8.01 Other Events.
On January 8, 2025, Novelis Inc. (the "Company") issued a press release announcing the pricing of an offering (the "Private Offering") by its wholly-owned subsidiary, Novelis Corporation, of $750 million aggregate principal amount of 6.875% senior unsecured notes due January 2030 (the "Notes") in a transaction exempt from registration under the Securities Act of 1933, as amended (the "Securities Act"). The Notes were priced at par value, which represents an increase of $250 million from the offering size previously announced and will bear an interest rate of 6.875% per annum.
The Notes and the related guarantees have not been, and will not be, registered under the Securities Act, or any state securities laws, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and the rules promulgated thereunder.
The Company expects to close the offering of the Notes on January 13, 2025, subject to the satisfaction of customary closing conditions. The full text of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
