Item 7.01. Regulation FD Disclosure.
On September 7, 2016, Novelis Inc. (the “Company”) issued a press release announcing that it has commenced a cash tender offer (the “Tender Offer”) to purchase any and all of its outstanding 8.75% Senior Notes due 2020 (the “Notes”). A copy of this release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
This Current Report on Form 8-K is neither an offer to sell nor a solicitation of offers to buy any securities. The Tender Offer is being made only pursuant to the Offer to Purchase, the related Letter of Transmittal and the Notice of Guaranteed Delivery. The Tender Offer is not being made to holders of Notes in any jurisdiction in which the making or acceptance thereof would not be in compliance with the securities, blue sky or other laws of such jurisdiction. The Company intends to redeem any Notes that
are not validly tendered and accepted for purchase pursuant to the Tender Offer.
