Item 8.01. Other Events.

     On May 14, 2007, Novelis Inc. (the “Company”) issued a press release announcing that it has received approval from the Ontario Superior Court of Justice for the arrangement whereby Hindalco Industries Limited will acquire the Company as contemplated by the Arrangement Agreement, dated as of February 10, 2007, by and among Hindalco Industries Limited, AV Metals Inc. and the Company. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
