Item 8.01.      Other Events.

     On May 10, 2007, Novelis Inc. (the “Company”) issued a press release announcing that at a special meeting of the Company’s shareholders held that day, the shareholders approved the Arrangement Resolution to approve the Arrangement under section 192 of the Canada Business Corporations Act involving the Company, its shareholders and other securityholders, Hindalco Industries Limited (“Hindalco”) and AV Metals Inc. (“Acquisition Sub”), a subsidiary of Hindalco, involving, among other things, the acquisition by Acquisition Sub of all of the outstanding common shares of the Company for US $44.93 for each common share. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
