Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 24, 2024, Clarence J. Chandran, a director of Novelis Inc. (the “Company”), notified the Company of his retirement from the Company’s board of directors, effective immediately. Mr. Chandran’s retirement does not relate to any disagreement with the Company on any matter relating to its operations, policies or practices.
